Terms and conditions

Updated and Applicable as of 1.00 p.m. AEST 13 September 2021

This agreement applies as between you, the User of this Web Site (including the Thinkific learning platform used by Spandah) (referred to herein variously as “Spandah Learning Hub”, “Learning Hub”, “Web Site”) and Spandah Pty Ltd (“us”, “our”, “we” or “Spandah”), the owner of this Web Site.  Your agreement to comply with and be bound by these terms and conditions is deemed to occur upon your registration on the Web Site or upon your acceptance of these terms and conditions (whichever is the earlier). If you do not agree to be bound by these terms and conditions, you must stop using the Web Site immediately. 

Definitions and Interpretation 

In this Agreement the following terms shall have the following meanings:  

“Content” means any text, graphics, images, audio, video, software, data compilations and any other form of information capable of being stored in a computer that appears on or forms part of this Web Site;

“Course” and “Courses” means any training course(s) provided by Spandah on the Learning Hub;

Spandah means Spandah Pty Ltd of 4 Commonwealth Tce, Sandhurst, Victoria, 3977, Australia with ABN 23 104 743 393;

“Service” means collectively any online facilities, tools, services or information that Spandah makes available through the Web Site either now or in the future;

“System” means any online communications infrastructure, process or system that Spandah makes available through the Web Site either now or in the future.  This includes, but is not limited to, web-based email, message boards, live chat facilities, email links, audio systems and platforms and audio-visual systems and platforms;

“User” / “Users”                means any third party that accesses the Web Site and is not employed by Spandah and acting in the course of their employment.

 

This End User License Agreement (“EULA”) governs your use of the Learning Hub and software, their associated upgrades, patches, and updates, content (including but not limited to the content of Spandah’s Courses) and related services (the “Product”) currently provided, or which will be provided, by Spandah Pty Ltd of 4 Commonwealth Tce, Sandhurst, Victoria, 3977, Australia with ABN 23 104 743 393 (collectively referred to as “Spandah").

This EULA sets out the basis on which Spandah makes the Product available to you and on which You may use them. Spandah’s Privacy Policy forms an integral part of this EULA. By using the Product, You agree to accept and to be bound at all times by (1) this EULA, (2) Spandah’s Privacy Policy, including any amendments to those documents made at any time, and from time to time, by Spandah. If You do not agree with any one or more of those documents, You must not register with, or use, or continue to use, the Product. 

 

Grant Of License

Provided You have (i) agreed to the terms and conditions of this Licence in the manner required by Spandah, and have (ii) paid the fee required by Spandah for the Course or Courses for which you enrol (whether individually or as part of bundle of Courses), Spandah grants You a non-exclusive, non-transferable, non-sublicensable, non-commercial and personal license (the “License”) to use the Product (in whole or in part) for such time until either You or Spandah terminate this EULA, or for such limited time period as may be specified by Spandah from time to time (whichever is the earlier). 

You must in no event, under any circumstances, (i) use the Product or this License for commercial purposes (ii) cause, permit, enable, or allow others to use the Product or this License for personal, non-commercial or commercial purposes (iii) use the product or this Licence to teach any other person all, or any part or parts, of Spandah’s Courses. 

 

Updates, upgrades, patches and modifications may be necessary in order to be able to continue to use the Product on certain hardware. 

THIS PRODUCT IS LICENSED TO YOU, NOT SOLD.

As applicable, certain parts of the Product may use third party features, some of which are managed by third-party providers for which additional terms and/or costs may apply. You must comply with such additional terms, and pay those costs if applicable. Please review such additional terms and costs carefully.

 

You shall not, directly or indirectly 

  1. sell, rent out, lease, license, distribute, market, or exploit the Product or any of its parts (including its visual, audio and/or text content) commercially, 
  2. reverse engineer, decompile, disassemble, adapt, reproduce, translate or create derivate works of this Product in whole or in part; 
  3. create, use and/or distribute “auto”, “script” or “macro” computer programs or other “hack” programs or software applications for this Product; 
  4. remove, alter, disable or circumvent any copyright and trademark indications or other authorship and origin information, notices or labels contained on or within this Product and 
  5. export or re-export this Product or any copy or adaptation of this Product.

 

While using the Product, You agree to comply with all applicable laws, rules and regulations. In all cases, You may only use the Product according to the use of the Product anticipated by this agreement, namely to provide You with a readily accessible inline means of learning Spandah’s Courses.

For example purposes, and without limiting the other terms and conditions of this Licence, You must not: 

a) create, use, copy, duplicate, download share and/or publish by any means in relation to the Product any material (text, words, images, audio files, video files etc.) which would breach a duty of confidentiality, infringe Spandah’s or any other person’s intellectual property right or an individual’s right to privacy or which would incite the committing of an unlawful act (in particular, piracy, cracking or circulation of counterfeit software); 

b) modify, distort, block, abnormally burden, disrupt, slow down and/or hinder the normal functioning of all or part of the Product, or their accessibility to other users, or the functioning of the partner networks of the Product, or attempt to do any of the above; 

c) transmit or propagate any virus, trojan horse, worm, bomb, corrupted file and/or similar destructive device or corrupted data in relation to the Product, and/or organise, participate in or be involved in any way in an attack on Spandah’s servers and/or the Product and/or those of its service providers and partners; 

d) create, supply or use alternative methods of using the Product, for example server emulators; 

e) transmit or communicate any material or content which, in the sole and exclusive discretion of Spandah, is believed or deemed offensive, including, but not limited to, language that is harmful, threatening, unlawful, abusive, harassing, defamatory, disparaging, obscene, sexually explicit, or racially, ethnically, or otherwise objectionable; 

f) harass, stalk or threaten any other users of the Product; 

g) make inappropriate use of the help service or the claim buttons or send untruthful reports to members of Spandah’s personnel; 

h) falsely claim to be an employee or representative of Spandah or its partners and/or agents; 

i) falsely claim an endorsement in connection with the Product or with Spandah.

 

Spandah fiercely protects its intellectual property and its investment in the Product for our benefit as well as for Your benefit. Most people do the right thing. Some don’t. For clarity, and without limiting the other terms of this Licence, You must not do or attempt to do, or cause, allow, enable or permit any other person or organisation to do or attempt to do, any of the following (or similar actions): 

  1. print 
  2. copy 
  3. replicate 
  4. create a facsimile of 
  5. write, type or dictate 
  6. reproduce 
  7. translate
  8. photograph by any means
  9. take a screen grab or Print Screen image of 
  10. share by Screen Share function
  11. upload or download 
  12. transfer to another device
  13. transmit, broadcast or in any way distribute 
  14. record using any device
  15. teach any person the content or concepts

of any of the text, images, videos, audio tracks and/or content of Spandah’s Courses.

 

Further, you must not

  1. Share the web application URL with any person
  2. Share your Learning Hub account, user name or password with any other person.

 

Ownership

All title, ownership rights and intellectual property rights in and to the Product (including, without limitation, all text, graphics, music or sounds, all messages or items of information, names, themes, objects, effects, dialogues, slogans, places, characters, diagrams, concepts, videos, audio-visual effects, domain names and any other elements which are part of the Product, individually or in combination) and any and all copies thereof are owned by Spandah (in its own right or as Trustee for the Spandah Trust) or its licensors. The Product is protected by national and international laws, copyright treaties and conventions and other laws. This Product may contain certain licensed materials and, in that event, Spandah’s licensors may protect their rights in the event of any violation of this Agreement. Any reproduction or representation of these licensed materials in any way and for any reason is prohibited without Spandah’s prior permission and, if applicable, Spandah’s licensors’ and representatives’ prior permission. Except as expressly set forth in this EULA, all rights not granted hereunder to You are expressly reserved by Spandah.

This License confers no title or ownership in the Product (including its contents) and should not be construed as a sale of any rights in the Product.

 

Intellectual Property

All Content included on the Web Site, unless uploaded by Users, including, but not limited to, text, graphics, logos, icons, images, sound clips, video clips, data compilations, page layout, underlying code and software is the property of Spandah, its Licensors, our affiliates or other relevant third parties. By continuing to use the Web Site you acknowledge that such material is protected by applicable Australian and International intellectual property and other relevant laws. 

Unless otherwise indicated, the Web Site is our proprietary property and all source code, databases, functionality, software, Web Site designs, audio, video, text, photographs, and graphics on the Web Site (collectively, the “Content”) and the trademarks, service marks, and logos contained therein (the “Marks”) are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws of the Australian, foreign jurisdictions, and international conventions. 

The Content and the Marks are provided on the Web Site “AS IS” for your information and personal use only. Except as expressly provided in these Terms and Conditions, no part of the Web Site and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, broadcast, distributed, sold, licensed, or otherwise exploited for any commercial or non-commercial purpose whatsoever, without our express prior written permission.

As a user of the Content, you agree not to: 

a) systematically retrieve data or other content from the Content to create or compile, directly or indirectly, a collection, compilation, database, or directory without prior written permission from us;

b) make any unauthorized use of the Content, including collecting usernames and/or email addresses of users by electronic or other means for the purpose of sending unsolicited email, or creating user accounts by automated means or under false pretences; 

c) use the Content to advertise or offer to sell goods and services;

 d) circumvent, disable, or otherwise interfere with security-related features of the Content, including features that prevent or restrict the use or copying of any Content or enforce limitations on the use of the Content contained therein;

 e) engage in unauthorised framing of or linking to the Content;

 f) trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information such as user passwords; 

g) make improper use of our support services or submit false reports of abuse or misconduct; 

h) engage in any automated use of the system, such as using scripts to send comments or messages, or using any data mining, robots, or similar data gathering and extraction tools; 

i) interfere with, disrupt, or create an undue burden on the Content or the networks or services connected to the Content; 

j) attempt to impersonate another user or person or use the username of another user; 

k) sell or otherwise transfer your profile; 

l) use any information obtained from the Content in order to harass, abuse, or harm us, our employees, our contractors, our affiliates or another person; 

m) use the Content as part of any effort by you or others to compete with us or otherwise use the Web Site and/or the Content for any revenue-generating endeavour or commercial enterprise; 

n) decipher, decompile, disassemble, or reverse engineer any of the software comprising or in any way making up a part of the Content;

 o) attempt to bypass any measures of the Content designed to prevent or restrict access to the Content, or any portion of the Content;

 p) harass, stalk, annoy, intimidate, or threaten any of our employees or contractors engaged in providing any portion of the Web Site to you;

 q) delete the copyright, trademark or other proprietary rights notice from any Content;

 r) copy or adapt the Content’s software, including but not limited to Flash, PHP, HTML, JavaScript, or other code;

 s) upload or transmit (or attempt to upload or to transmit) viruses, Trojan horses, or other material, including excessive use of capital letters and spamming (continuous posting of repetitive text), that interferes with any party’s uninterrupted use and enjoyment of the Content or modifies, impairs, disrupts, alters, or interferes with the use, features, functions, operation, or maintenance of the Web Site;

 t) upload or transmit (or attempt to upload or to transmit) any material that acts as a passive or active information collection or transmission mechanism, including without limitation, clear graphics interchange formats (“gifs”), 1×1 pixels, web bugs, cookies, or other similar devices (sometimes referred to as “spyware” or “passive collection mechanisms” or “pcms”); 

l) except as may be the result of standard search engine or Internet browser usage, use, launch, develop, or distribute any automated system, including without limitation, any spider, robot, cheat utility, scraper, or offline reader that accesses the Content, or using or launching any unauthorized script or other software;

 m) disparage, tarnish, or otherwise harm, in our opinion, us and/or the Content;

 n) use the Web Site and the Content in a manner inconsistent with any applicable laws or regulations. 

 

User Generated Contributions

Our Learning Hub may invite you to chat, contribute to, or participate in blogs, message boards, online forums, live Zoom calls and other functionality, and may provide you with the opportunity to create, submit, post, display, transmit, perform, publish, distribute, or broadcast content and materials to us or on the Learning Hub, including but not limited to text, writings, video, audio, photographs, graphics, comments, suggestions, or personal information or other material (collectively, "Contributions"). Contributions may be viewable by other users of the Learning Hub. As such, any Contributions you transmit may be treated as non-confidential and non-proprietary. When you create or make available any Contributions, you thereby represent and warrant that:

a) the creation, distribution, transmission, public display, or performance, and the accessing, downloading, or copying of your Contributions do not and will not infringe the proprietary rights, including but not limited to the copyright, patent, trademark, trade secret, or moral rights of any third party;

b) you are the creator and owner of or have the necessary licenses, rights, consents, releases, and permissions to use and to authorize us, the Learning Hub, and other users of the Learning Hub to use your Contributions in any manner contemplated by the Learning Hub and these Terms and Conditions, including for training and marketing purposes;

c) you have the written consent, release, and/or permission of each and every identifiable individual person in your Contributions to use the name or likeness of each and every such identifiable individual person to enable inclusion and use of your Contributions in any manner contemplated by the Learning Hub and these Terms and Conditions;

d) your Contributions are not false, inaccurate, or misleading;

e) your Contributions are not unsolicited or unauthorized advertising, promotional materials, pyramid schemes, chain letters, spam, mass mailings, or other forms of solicitation;

f) your Contributions are not obscene, lewd, lascivious, filthy, violent, harassing, libelous, slanderous, or otherwise objectionable (as determined by us);

g) your Contributions do not ridicule, mock, disparage, intimidate, or abuse anyone, including us;

h) your Contributions do not advocate the violent overthrow of any government or incite, encourage, or threaten physical harm against another;

i) your Contributions do not violate any applicable law, regulation, or rule;

j) your Contributions do not violate the privacy or publicity rights of any third party;

k) your Contributions do not contain any material that solicits personal information from anyone under the age of 18 or exploits people under the age of 18 in a sexual or violent or culturally inappropriate manner;

l) your Contributions do not violate any Australian or International law concerning child pornography, or otherwise intended to protect the health or well-being of minors; 

m) your Contributions do not include any offensive comments that are connected to race, national origin, gender, sexual preference, or physical handicap; 

n) your Contributions do not otherwise violate, or link to material that violates, any provision of these Terms and Conditions, or any applicable law or regulation;

Any use of the Learning Hub in violation of the foregoing violates these Terms and Conditions and may result in, among other things, termination or suspension of your rights to use the Learning Hub. 

 

Contribution License

By posting your Contributions to any part of the Learning Hub, you automatically grant, and you represent and warrant that you have the right to grant, to us an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide right, and license to host, use, copy, reproduce, disclose, sell, resell, publish, broadcast, retitle, archive, store, cache, publicly perform, publicly display, reformat, translate, transmit, excerpt (in whole or in part), and distribute such Contributions (including, without limitation, your image and voice) for any purpose, commercial, advertising, or otherwise, and to prepare derivative works of, or incorporate into other works, such Contributions, and grant and authorise sublicenses of the foregoing. The use and distribution may occur in any media formats and through any media channels. 

This license will apply to any form, media, or technology now known or hereafter developed, and includes our use of your name, company name, and franchise name, as applicable, and any of the trademarks, service marks, trade names, logos, and personal and commercial images you provide. You waive all moral rights in your Contributions, and you warrant that moral rights have not otherwise been asserted in your Contributions. 

We do not assert any ownership over your Contributions. You retain full ownership of all of your own Contributions and any intellectual property rights or other proprietary rights associated with your Contributions (but not to the Contributions of Spandah or others). We are not liable for any statements or representations in your Contributions provided by you in any area on the Learning Hub. 

You are solely responsible for your Contributions to the Learning Hub and you expressly agree to exonerate us from any and all responsibility and to refrain from any legal action against us regarding your Contributions.  

We have the right, in our sole and absolute discretion, (1) to edit, redact, or otherwise change any Contributions; (2) to re-categorize any Contributions to place them in more appropriate locations on the Learning Hub; and (3) to pre-screen or delete any Contributions at any time and for any reason, without notice. We have no obligation to monitor your Contributions. 

 

Using the Learning Hub

When you pay for a Course and register on the Learning Hub, then we grant you a revocable, non-exclusive, non-transferable, limited personal right to use the Learning Hub for that Course on electronic devices owned or controlled by you, and to access and use the Learning Hub on such devices strictly in accordance with these terms and the conditions and the terms and conditions contained in the Learning Hub`s End User License Agreement. 

You shall not: 

  1. decompile, reverse engineer, disassemble, attempt to derive the source code of, or decrypt the Learning Hub; 
  2. make any modification, adaptation, improvement, enhancement, translation, or derivative work from the Learning Hub or its content; 
  3. violate any applicable laws, rules, or regulations in connection with your access or use of the Learning Hub; 

d) remove, alter, or obscure any proprietary notice (including any notice of copyright or trademark) posted by us or the licensors of the Learning Hub; 

e) use the Learning Hub for any revenue generating endeavour, commercial enterprise, or other purpose for which it is not designed or intended; 

f) make the Learning Hub available over a network or other environment permitting access or use by multiple devices or users at the same time, or by unauthorized users; 

g) use the Learning Hub for creating a product, service, or software that is, directly or indirectly, competitive with or in any way a substitute for the Learning Hub; 

h) use the Learning Hub to send automated queries to any Web Site or to send any unsolicited commercial e-mail; 

i) use any proprietary information or any of our interfaces or our other intellectual property in the design, development, manufacture, licensing, or distribution of any applications, accessories, or devices for use with the Learning Hub.

 

Learning Hub User Representations

By using the Learning Hub, you represent and warrant that: 

a) all registration information you submit will be true, accurate, current, and complete; 

b) you will maintain the accuracy of such information and promptly update such registration information as necessary; 

c) you have the legal capacity and you agree to comply with these Terms and Conditions; d) you are not under the age of 18; 

d) you are not a minor in the jurisdiction in which you reside; 

e) you will not access the Learning Hub through automated or non-human means, whether through a bot, script, or otherwise; 

f) you will not use the Learning Hub for any illegal or unauthorized purpose; 

g) your use of the Learning Hub will not violate any applicable law or regulation.

If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Learning Hub (or any portion thereof). For the purposes of clarity, in that case you will not be entitled to a refund of all or any portion of fees that you have paid up until the date of suspension or termination, and you must immediately pay any balance of fees outstanding.

 

Your Learning Hub Account

Using certain parts of our Learning Hub may require you to register with us and to open an account. At the time of registration, you agree to provide us with the personal and other information that are necessary to offer you our Services. That information must be true, accurate, complete, and kept up to date. You should note that a failure to provide true, accurate, complete, and up to date details forces us to end the relationship with you and to immediately terminate the Services offered to you. Also, that you are responsible for all activity on your account, whether you authorize it or not.

To access your Account, you will be required to provide your user name and password. It is your responsibility to create a strong password and to protect your login details and to restrict access to your account. You must notify us immediately if the security of your account has been compromised and you accept and acknowledge that we do not assume any responsibility for the safety of your account; nor can we be held liable for security breaches and activities that occur under your Account; nor can we accept any risks deriving from authorized or unauthorized access or fraudulent entry to your account to the maximum extent permitted by law.

 

Submissions

You acknowledge and agree that any questions, comments, suggestions, ideas, feedback, or other information regarding the Learning Hub and/or its contents ("Submissions") provided by you to us are non-confidential and shall become our sole property and are hereby wholly assigned by you to us. We shall own exclusive rights, including all intellectual property rights, and shall be entitled to the unrestricted use and dissemination of those Submissions for any lawful purpose, commercial or otherwise, without acknowledgment or compensation to you. 

 

You hereby waive all moral rights to any such Submissions, and you hereby warrant that any such Submissions are original with you or that you have the right to submit such Submissions. You agree there shall be no recourse by you against us for any alleged or actual infringement or misappropriation of any proprietary right in your Submissions. 

 

Learning Hub Management

We reserve the right, but not the obligation, to: 

a) monitor the Learning Hub for violations of these Terms and Conditions; 

b) take appropriate legal action against anyone who, in our sole discretion, violates the law or these Terms and Conditions, including without limitation, reporting such user to law enforcement authorities; 

c) in our sole discretion and without limitation, refuse, restrict access to, limit the availability of, or disable (to the extent technologically feasible) any of your Contributions or any portion thereof; 

d) in our sole discretion and without limitation, notice, or liability, to remove from the Learning Hub or otherwise disable all files and content that are excessive in size or are in any way burdensome to our systems; 

e) otherwise manage the Learning Hub in a manner designed to protect our rights and property and to facilitate the proper functioning of the Learning Hub.

 

Learning Hub Modifications And Interruptions 

We reserve the right to change, modify, or remove the contents of the Learning Hub at any time or for any reason at our sole discretion without notice. However, we have no obligation to update any information on our Learning Hub. We also reserve the right to modify or discontinue all or part of the Learning Hub without notice at any time. 

We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Learning Hub. 

We cannot guarantee the Learning Hub will be available at all times. We, or our Learning Hub platform’s supplier, may experience hardware, software, or other problems (including but not limited to power outages and cyber attacks) or need to perform maintenance or upgrades related to the Learning Hub or our Web App, resulting in interruptions, delays, or errors. 

We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the Learning Hub and/or Web App at any time or for any reason without notice to you. You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the Learning Hub and/or Web App during any downtime or discontinuance of the Learning Hub and/or Web App. 

Nothing in these Terms and Conditions will be construed to obligate us to maintain and support the Learning Hub and/or Web App or to supply any corrections, updates, or releases in connection therewith.

 

Corrections

There may be information on the Learning Hub that contains typographical errors, inaccuracies, or omissions that may relate to the Learning Hub, including descriptions, pricing, availability, and various other information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information on the Learning Hub at any time, without prior notice.

 

Purchasing and Confirmation

In order to purchase a Course you must provide the required information and pay the amount specified. You must ensure that all information provided is complete and accurate. When you place an order for a Course, you are offering to purchase that Course on these Terms. 

These Terms, together with 

a) your purchase offer and 

b) the order confirmation email, 

constitute the entire agreement between us (the “Contract”) and supersedes and replaces any other terms and conditions previously published by us and any other understanding, undertaking, representation, warranty, arrangement, promise or statement of any nature whatsoever made by us to you, whether oral, written or otherwise, relating to the subject matter of these Terms. You acknowledge that you have not relied on any understanding, undertaking, representation, warranty, arrangement, promise or statement made or given by us or on our behalf, which is not set out in the Contract.

You must check the details on the order confirmation email when you receive it.  If there are any errors please contact us immediately.

Where your order consists of multiple Courses, each individual Course may be treated by Spandah as a separate offer to purchase. Acceptance of your offer to purchase one or more of the Courses will not automatically be an acceptance by Spandah of your offer to purchase any other Courses which make up your order.

We reserve the right, in our sole and absolute discretion and without the need to give a reason, to refuse to accept an offer to purchase one or more Courses. In such circumstances, no contract will arise and we will return any payment accompanying your purchase offer.

Before a Contract comes into existence between you and us, we reserve the right to increase or decrease the advertised Course Fee for a Course and/or to amend any of the information contained in the Course description. We also reserve the right to withdraw at any time Courses advertised for sale on the Website and/or in any Brochure.

 

No Guarantees 

When you chose to attend one of Spandah`s courses we are always be here to support you. Our role is to accompany and assist you in reaching your own goals, but your success depends primarily on your own effort, motivation, commitment and follow-through. We cannot predict and we do not guarantee that you will attain a particular result, including but not limited to revenue, profit, income and/or business growth, and you accept and understand that results differ for each individual. Each individual’s results depend on his or her unique background, dedication, desire, motivation, actions, and numerous other factors. You fully agree that there are no guarantees as to the specific outcome or results you can expect from using the information you receive from us. Spandah assumes no responsibility for how you use any information, services, products or documents provided.

 

Chargebacks

You agree to contact us prior to raising a request for a chargeback or any dispute with your bank or card issuer in relation to any Transaction. If you make a card payment through us, and later dispute a legitimate charge by raising a chargeback without merit or legitimate reason (as determined at our sole discretion), whether fraudulently or otherwise, then we reserve the right to blacklist you by providing compelling evidence to refute your invalid chargeback request and or pursue legal action as the case may be.

 

Refunds

Spandah need not refund fees in the event of termination or suspension of this Agreement unless Spandah Policies provide otherwise. 
 

The Spandah Meditation, Powerful Questions and MasterProcess courses work. They have worked in organisations and for coaches, change facilitators, managers, leaders and others for many years. They are among the best processes in the world. They will work for you if you do the work necessary to learn them as presented, and are prepared to adapt your style to the processes. For instance, the MasterProcess comprises sets of questions asked rapidly in a certain order. The questions require only short answers. That is how you’ll get the best results from the MasterProcess.

 

When you register for a Spandah course you then have full access to the course material. You should satisfy yourself before paying and registering that the course is suitable and appropriate for your needs. We are happy to discuss that with you before you make your decision.

 

To the maximum extent permitted by law, Spandah has no liability to provide you with a refund of the Course Fees paid (in whole or in part) after you register for your chosen course.

 

If you have paid, but have not registered, for a course, you may request a refund. The request must be in writing by email to [email protected] . Provided you have not registered for the course Spandah shall provide a refund in full, less any financial institution fees incurred by Spandah applicable to the payment and the refund. The refund shall be for the equivalent in Australian dollars (less the fees) that you paid. 

 

Spandah may exercise its discretion for a refund in limited circumstances as follows.

 

We want to see you succeed with our courses.

 

Spandah may, at its sole discretion, consider a full or partial refund in the following circumstances:

 

You have not accessed (in relation to the course you are undertaking) any modules on Spandah’s Learning Hub :

  • in the MasterProcess course after Step 2
  • in the Powerful Questions course after Fuzzy Language
  • in the Spandah Meditation course after Module 2

whether those courses are undertaken separately, jointly or together as Consciousness-Centred Coaching

  1. You have not breached any of these terms and conditions
  2. You have not breached any of the terms and conditions of the EULA for the MasterProcess WebApp
  3. You have completed all the relevant course modules, course exercises, recommended practice session and (if applicable) online group coaching sessions applicable to the stage of the course(s) you have reached
  4. You have emailed Spandah and notified Spandah that you would like a refund, together with the reasons for claiming a refund.
  5. If requested by Spandah, you meet with Spandah representative on Zoom within 48 hours of sending that email, and at a time suitable to Spandah, to discuss any concerns about the program and your reasons for seeking a refund
  6. You attend the next available online coaching session and participate in coaching exercises as coach and coachee, and allow yourself to be coached by the facilitator in relation to your use of the techniques learned in the courses
  7. Spandah is satisfied, in its sole discretion, that you have genuinely attempted to learn the course material and are genuinely incapable of learning and/or applying the material
  8. In the event that Spandah agrees to refund all or part of the fees that you have paid for the course(s), you agree
  1. to immediately delete from your computers and electronic devices, including storage devices, any and all content derived the courses, including any notes that you may have made in relation to the courses
  2. to immediately destroy any and all notes and records made by you in relation to the courses
  3. to immediately cease using and accessing Spandah’s Learning Hub and Web App and

delete your profiles from Spandah’s web sites

  1. to immediately cease using, and refrain from using, any of Spandah’s course content including its techniques, processes, concepts and methodologies
  2. to consent to Spandah storing your personal data for the purposes of proving that you were registered for the courses and that you agreed to Spandah’s terms and conditions for the courses
  3. that you shall remain bound by, and shall honour, Spandah’s Terms and Conditions relating to the protection of Spandah’s intellectual property
  4. that you shall not criticise, disparage, defame or adversely comment or review Spandah’s courses, methodology, and/or personnel to any person and/or organisation by any means and medium including but not limited to social media and you hereby irrevocably authorise any social media platform to remove any such posts and comments at Spandah’s request.

 

 

MasterProcess
If you allege that you have previously learned the MasterProcess technique or a substantially similar process from another person or organisation,
a. you must provide
i. copies of original documents that detail the actual process that you previously learned, and
ii. the name and address of the person and organisation from whom you learned it, and
iii. the date and place where you learned it
 b. you attend an interview by Zoom or similar video technology with one of Spandah’s representatives to discuss that allegation, and you irrevocably consent to Spandah recording that interview.

 

No Warranty or Guarantee as to Successful Completion of Course
 Spandah does not represent, warrant or guarantee (expressly or impliedly) that you will meet assessment criteria and successfully complete the Course.


Whilst every effort is made by Spandah to ensure that the Course Materials are accurate and sufficiently detailed to allow you to attain the competency, skills and knowledge to meet any assessment requirements and complete the Course, you are solely responsible for ensuring that you undertake the steps required to meet and fulfil all Course requirements.
 

Instalments

If you elect to pay for your course or courses by instalments, and you fail to pay an instalment by the due date, you shall 

  • immediately cease using and accessing Spandah’s Learning Hub and Web App
  • immediately cease using, and refrain from using, any of Spandah’s course content including its techniques, processes, concepts and methodologies

until payment is resumed and

  • consent to Spandah storing your personal data for the purposes of proving that you were registered for the courses and agreed to Spandah’s terms and conditions for the courses
  • remain bound by, and shall honour, Spandah’s Terms and Conditions relating to the protection of Spandah’s intellectual property
  • not criticise, disparage, defame or adversely comment or review Spandah’s courses, methodology, and/or personnel to any person and/or organisation by any means and medium including but not limited to social media and you hereby irrevocably authorise any social media platform to remove any such posts and comments at Spandah’s request.
  • immediately delete from your computers and electronic devices any and all content derived the courses, including any notes that you may have made in relation to the courses
  • immediately destroy any and all notes and records made by you in relation to the courses
  • immediately cease using and accessing Spandah’s Learning Hub and Web App and

               delete your profiles from Spandah’s web sites

  • immediately cease using, and refrain from using, any of Spandah’s course content including its techniques, processes, concepts and methodologies

 

 

Non-transferable
 Your Enrolment in a Spandah course is personal to you and may not be transferred to any other person for any reason whatsoever.

 

Delivery of Course Materials

Spandah is not responsible for the costs of any redirection of the Course Materials or other products where you fail to provide Spandah with your correct delivery address, or fail to notify Spandah of any change to the Delivery Address. You are responsible for the cost of replacing any lost or damaged Course Materials or other products after they have been received by you, including the cost associated with delivering replacements.

 

Assessment
 The mode of assessment (if applicable) varies from Course to Course and may include online assessments, submission of written assessments and examination (or any combination thereof). Spandah reserves the right to change the mode of assessment applicable to a Course at any time in its sole discretion, including after your Enrolment.

 

Time Limits

Unless otherwise agreed by Spandah in writing you are required to complete your Course within 90 days from your Enrolment Date. Unless otherwise stated, you shall be provided access to your Course for a period of 12 months after purchase, for the purpose of revision. For clarity: failure to complete your Course for any reason that is not the exclusive fault of Spandah does not entitle you to a full or partial refund of your Course fees.

Products Descriptions And Prices

We do our best to ensure that the information about Products is accurate and up-to-date. However we do not guarantee that there will be no errors in the description and/or pricing of the Products, or that Products will always be available if you wish to place an Order to purchase them.

When Orders are not accepted
